All payments under Carbon by Indigo are (i) based on performance the number of verified carbon credits generated on enrolled land and sold to a third-party buyer, (ii) paid on a five-year schedule, contingent upon continued long-term maintenance of qualifying agricultural practices and soil carbon levels, and (iii) subject to a buffer pool holdback of up to 20% of carbon credits generated in order to protect against reversals, which buffer pool credits will not be subject to payment.
